🌟 Client Request Series ⑧: Company Formation for a Foreign Business Owner 🌟

📅 The date of writing this article is Sunday, January 4, 2026 ✨

Since November last year, I had been going to the gym regularly 🏋️‍♂️,
but in December, I became very busy (thankfully!) 💦 and couldn’t go as often.
On top of that, year-end and New Year’s dinner gatherings 🍽️ made me feel like
everything had gone back to square one 😇💭

The 8th installment of our “Client Request Series” is about
🏢 Company Formation

As many of you may know 📘,
due to recent changes in the regulations for the 🪪 Business Manager status,
we expect that the number of foreign nationals wishing to establish companies in Japan
may decrease significantly 🤔.

However 💡
our office does not handle company formation only for foreign nationals 🙆‍♀️.
We have also supported the establishment of many companies
for 🇯🇵 Japanese clients over the years ✨

In this case, the company was established as a 🏢 Kabushiki Kaisha (Joint-Stock Company),
but there are 📚 several different types of legal entities in Japan.

At our office, we frequently handle👇
🔹 Kabushiki Kaisha (KK)
🔹 Godo Kaisha (GK)
🔹 General Incorporated Associations
and others ✨

Regardless of the type of entity 📝,
one document that must always be prepared is
📄 the Articles of Incorporation.

That said 😊
the Articles of Incorporation generally follow a standard 📋 format,
so creating them based on that format usually does not cause major issues.

⚠️ However, the most important part is
what the company intends to do,
in other words 🎯 its “purpose.”

While it may seem sufficient to simply describe the intended business activities ✍️,
depending on the content 📌,
if the wording does not strictly follow legal requirements,
it may be impossible to obtain necessary licenses or permits 🚫.

For example 🏠,
if you wish to operate a private lodging (minpaku) business,
including the term
📕 “Private Lodging Business Act (Residential Lodging Business Act)”
is almost essential 🔑.

Looking at this 👀,
you might think,
“Can’t anyone do this on their own?” 🤔

…And yes 😊
that’s true. It is possible to do it yourself.

However 💦,
one major hurdle is
💻 electronic signatures.

If you have a My Number Card 🪪
and can complete the setup, there is no issue.
In reality, though 😵‍💫,
many people are unfamiliar with the process and struggle with it.

You might think,
“Then why not submit everything on paper?” 📄
That is an option, but in that case 💸,
stamp tax will be incurred.

In addition ⚡,
when handling everything on your own,
many small tasks arise one after another,
often requiring far more time and effort than expected ⏳.

If you are planning to start a company 🚀,
for example, a restaurant 🍽️,
you are likely already focused on things such as:
🏪 What kind of restaurant to open
📣 How to attract customers
👨‍🍳 Who the chef will be
and so on…
Your mind is probably full with your actual business 🤯✨

if you feel confident handling everything yourself,
we encourage you to take on the challenge 💪.

if you want to concentrate on your business
